APIHUB TERMS OF SERVICE

These Terms of Service (the "Terms") govern the use of the API marketplace service ("APIHUB" or the "Service"), a service that facilitates the connection between API providers and API consumers. The Service is operated by APIHUB.
APIHUB acts as a marketplace and commercial intermediary, facilitating the connection and contracting between API Providers and API Consumers. APIHUB does not manage third-party funds, act as a payment processor, and is not the provider of the APIs, nor is it personally responsible for their content, functionality, or legality.
By registering, accessing, or using the Service, you acknowledge and agree that you have read, understood, and accepted to be legally bound by all of these Terms. If you do not agree with these Terms, you must not use the Service.
**Key Definitions:**
* **APIHUB:** The commercial name of the service that acts as a commercial intermediary, responsible for facilitating the connection, collection, and settlement between API Providers and API Consumers, without managing funds or acting as a financial entity.
* **API Provider:** Any individual or entity that publishes an API on the APIHUB marketplace.
* **API Consumer:** Any individual or entity that purchases a Use License (or "subscribes" in user interface terms) and uses an API published in the marketplace.
* **PayPal:** The third-party payment processor used for all transactions on the platform.
* **Registration Data:** The accurate, current, and complete information provided by users in APIHUB's registration forms.
* **User Content:** Any content, links, comments, or materials published or stored on the Service by users, including API details.
* **APIHUB Materials:** All information, materials, and content of the Service, including text, graphics, data, formatting, designs, HTML, software, and other content owned by APIHUB.
* **Third-Party Trademarks:** All other trademarks, registered trademarks, product names, and company names or logos mentioned in the Service that are the property of their respective owners.
* **API License Agreement:** The additional terms and conditions (including pricing, SLA, support, etc.) established exclusively by the API Provider that govern the relationship and use of the API between the Provider and the Consumer, with APIHUB being a third party to said agreement.
* **Use License:** A non-exclusive and temporary authorization, with a maximum duration of 30 calendar days from its purchase, which grants the API Consumer the right to access and use an API up to the consumption of a specific Use Quota.
* **Use Quota:** The predefined limit of calls, data, or capacity of an API that is included in the Use License. Once the quota is exhausted, the Use License expires, even if the 30-day period has not elapsed.
* **Relevant Failure:** prolonged interruption, serious unavailability, substantial malfunction of the API, failure to comply with what was promised in the publication or the SLA offered by the Provider, which prevents or frustrates the normal use of the API. Minor interruptions, scheduled maintenance, or problems arising from incorrect configuration by the Consumer will not be considered relevant failures.
**1. Nature of the Service and Role of APIHUB**
1.1. **Role and Nature of the Service.** APIHUB acts primarily as a marketplace and commercial intermediary, whose purpose is to facilitate the connection and contracting between API Providers and API Consumers, managing payments through an external payment processor (currently PayPal). APIHUB does not manage third-party funds nor does it act as a fiduciary, custodian, or financial entity. Exceptionally, APIHUB or its related entities may publish and offer their own APIs on the platform. In these cases, for those specific APIs, APIHUB will assume the role and responsibilities of the API Provider, not as an intermediary. APIHUB does not audit or filter the content of personal data transmitted by third-party APIs. Regarding the management of personal data (Law No. 25,326 or applicable regulations): For Third-Party APIs: APIHUB acts solely as a data carrier or "Data Processor", under the strict responsibility of the API Provider ("Data Controller"). For APIHUB's Own APIs: APIHUB will assume the function of "Data Controller" for the processed data, being directly obligated to comply with Law No. 25,326.
1.2. **Responsibility for API Content and Functionality.** API Providers are solely and exclusively responsible for the content, functionality, security, performance, and legality of the APIs they publish, including the accuracy and truthfulness of all documentation, technical specifications, and Service Level Agreement (SLA) promises published on APIHUB. The API Consumer acknowledges and agrees to assume all risk when using any listed API and that it is their sole responsibility to perform due diligence on the API before subscribing to and using it.
1.3. **Age Requirements.** The Service is available only to individuals over 18 years of age. By registering and using the Service, you represent and warrant that you are at least 18 years old.
1.4. **No Employment or Partnership Relationship.** These Terms do not create an agency, employment, partnership, joint venture, or franchise relationship between APIHUB and any of its users. The parties are and will always be considered independent contractors.
1.5. **Legal Compliance of APIs.** The API Provider represents and warrants that their API complies with all applicable laws, regulations, and standards in the Argentine Republic and any relevant jurisdiction, including, without limitation, the Personal Data Protection Law No. 25,326. The API Provider is solely responsible for obtaining the necessary licenses or permits to operate or publish their API and will indemnify APIHUB for any claim arising from the breach of any law.
1.6. **Professional Use and Applicable Legal Framework.** The Service is primarily intended for API Providers and API Consumers (individuals or entities) acting within the scope of their professional, commercial, or economic activity. The contractual relationship between APIHUB and its users is primarily governed by the provisions of the Civil and Commercial Code of the Nation, without prejudice to the application of the Consumer Defense Law No. 24,240 and complementary regulations in those cases where a user is qualified as a Final Consumer by a competent authority.
1.7. **Marketplace Quality.** Although APIHUB acts as a passive intermediary, the API Provider acknowledges and agrees that APIHUB reserves the right to establish minimum quality, performance, and security standards (including, but not limited to, error rates and latency) for continued publication on the Service, in order to protect the integrity of the marketplace for all users.
1.8. **Consumer's Assumption of Risk.** The API Consumer acknowledges that the acquisition and use of any API through the Service implies the inherent risk of technical failures, unavailability, data loss, or business interruption. Therefore, the Consumer declares that they have implemented their own risk mitigation systems, failover, and backup copies and that they do not depend on APIHUB for the uninterrupted operation of their processes.
1.9. **Right to Technical and Compliance Audit.** The API Provider grants APIHUB, or a designated third party, the right, subject to reasonable prior notice (except in cases of emergency or imminent risk), to conduct technical audits on the published APIs or associated documentation to verify compliance with quality and security standards (Section 1.7) and legality (Section 1.5). If the audit reveals a material breach or serious security deficiencies, the API Provider must correct the defect within ten (10) business days or face immediate suspension of the API, without prejudice to other legal actions.
1.10. **Acceptance of International Data Transfer.** The Consumer and the API Provider acknowledge and agree that, for the provision of the marketplace Service and the operation of the gateway (including the recording of logs and traffic metrics), access data, metadata, and User Content may be transferred, stored, and processed on servers and data centers located outside the Argentine Republic. By accepting these Terms, the user grants their express and informed consent for said international data transfer for the purposes of Law 25,326.
1.11. **No Endorsement or Business Guarantee.** The fact that APIHUB hosts or indexes any API, API Provider, or API Consumer on its Service does not constitute, nor should it be interpreted as, an endorsement, recommendation, sponsorship, or guarantee by APIHUB regarding the quality, suitability, security, accuracy, or commercial solvency of said API, Provider, or Consumer. APIHUB makes no representation regarding the commercial success or business viability of the API Provider or API Consumer.
**2. Registration and User Accounts**
2.1. **Registration.** To access the Service, users must register with APIHUB. You agree to (a) provide accurate, current, and complete Registration Data, (b) maintain the security of your account password, and (c) be responsible for all activities or transactions related to your account. You must notify APIHUB immediately if you become aware of any unauthorized use of your account or password.
2.2. **Account Security and Hacking Risk.** You are solely responsible for maintaining the confidentiality of your password and API key. APIHUB does not guarantee that the Service will be free from viruses, security attacks, or failures. You agree that APIHUB will not be liable for the loss, theft, or disclosure of data caused by the hacking of your account, unauthorized use of your API key, denial-of-service (DDoS) attacks, or any security breach, except in cases of proven willful misconduct or gross negligence by APIHUB.
2.3. **Identity Verification and Audit.** APIHUB reserves the right, at any time and in its sole discretion, to request additional documentation or verifications to confirm the accuracy of the Registration Data and compliance with these Terms. **We do not store any fiscal information.** You agree to cooperate fully with any request for an identity or usage audit. Failure to respond or providing false, inaccurate, or incomplete information will be considered a material breach of these Terms and may result in the immediate suspension or termination of your account and the blocking of pending transactions.
**3. API Rights - Between API Providers and API Consumers (not APIHUB)**
3.1. **API Terms.** With respect to each API, the applicable terms and conditions (including use and other rights) are solely between the Consumer and the Provider, and not with APIHUB. Each Provider is responsible for all support and all claims related to their API.
3.2. **Provider's Responsibility.** The API Provider, not APIHUB, is responsible for monitoring and enforcing the terms and conditions applicable to each API to which it grants access to an API Consumer. The API Provider acknowledges and agrees that APIHUB will not be responsible for any actual or alleged breach of the terms governing the use of the APIs.
3.3. **Support and Service Level Agreement (SLA).** The API Provider is solely responsible for providing all technical support, maintenance, and complying with any Service Level Agreement (SLA) they have promised for their API. APIHUB has no support or maintenance obligation for any API.
3.4. **Discontinuation and Modifications of APIs.** The API Provider, at its sole discretion and at any time, may modify, withdraw, or discontinue the availability or pricing of its API. APIHUB is not responsible for the unavailability of an API or for any losses the Consumer may suffer as a result of any modification, withdrawal, or discontinuation implemented by the Provider.
3.5. **Provider's Data Protection Obligations.** The API Provider represents and warrants that it has the necessary legal basis to process any personal data transmitted through its API. The Provider is solely responsible for: (a) obtaining valid consent from data subjects if necessary; (b) maintaining its own Privacy Policy and Terms of Service applicable to Consumers and data; and (c) handling and responding to any requests for access, rectification, cancellation, or opposition (ARCO rights) from data subjects. The Provider will indemnify and hold APIHUB harmless from any claim, fine, or penalty arising from its breach of any personal data protection law.
3.6. **Provider's Technical Security Guarantee.** The API Provider represents and warrants that its API does not contain malicious code, backdoors, malware, spyware, or any other mechanism designed to damage, disrupt, or gain unauthorized access to third-party systems or data. The Provider will be responsible for and will indemnify APIHUB for any damage, claim, or penalty arising from the introduction of such elements into its API.
**4. Payment Management and Chargebacks**
4.1. **Payment Processor.** All transactions are processed through a third-party payment processor (currently PayPal). The API Consumer accepts and acknowledges that, when making a payment, they are subject to the terms and conditions of the current payment processor. APIHUB is not responsible for failures in the payment gateway, chargebacks, or fraud.
4.2. **Commissions.** For its intermediation services, APIHUB will retain a commission of **10% (ten percent) of the remaining amount after the payment processor's (e.g., PayPal) fees have been deducted** from each transaction made on the platform. These charges are variable and external to APIHUB and will be borne by the API Provider as part of the collection and settlement service offered by the platform. The remaining amount, after the aforementioned deductions, will be received by APIHUB once released by the payment processor, and subsequently settled to the API Provider within the deadlines provided in Section 4.2.b. During this period, the funds remain under the management of the payment processor until they are released to APIHUB. APIHUB will directly manage refunds requested by Consumers within ten (10) calendar days of the purchase, deducting the corresponding amount from the Provider's balance or future settlements. In the event of refunds, chargebacks, or adjustments, the Provider expressly authorizes APIHUB to withhold, offset, or deduct the amounts involved, without the need for additional authorization.
* **Illustrative Example:** As an example, if a Consumer purchases an API subscription for $100.00 on January 1st:
* The payment is processed through PayPal, which applies a processing fee (e.g., 3.5%, equivalent to $3.50).
* The remaining amount is $96.50.
* APIHUB retains its 10% commission on the remaining amount ($9.65).
* The net balance in favor of the Provider will be $86.85 ($96.50 - $9.65).
* APIHUB will include this transaction in the corresponding monthly settlement and will transfer the payment within the first 21 days of the month following the release of the funds.
* If the Consumer requests a refund within 10 days of the purchase and its quota usage is less or equal to 10 (ten) percent of the plan subscribed to, APIHUB will return the full amount to the Consumer, and no payment will be made to the Provider.
* APIHUB does not manage or hold the Provider's funds in custody; payments are made only once the funds are released by the external payment processor.
4.2.b. **Deadlines and Processing of Payments to Providers.** APIHUB will process payments to API Providers on a monthly basis, within the first twenty-one (21) calendar days of each month, including only the transactions effectively collected and released by the payment processor during the previous month. The funds from a transaction may be transferred up to sixty (60) days after the purchase, depending on the time of payment release and the settlement cycle. APIHUB will not advance funds or release payments before their final confirmation and reserves the right to offset amounts for chargebacks, refunds, or administrative adjustments.
4.3. **Right of Revocation and Refund Management.** In accordance with Consumer Defense Law No. 24,240, the API Consumer may request a refund within ten (10) calendar days of the purchase. During this period, APIHUB will directly manage and issue a full refund to the Consumer, deducting the corresponding amount from the Provider's balance or future settlements. The API Provider expressly authorizes APIHUB to withhold, offset, and/or deduct said amounts for refunds, chargebacks, or adjustments. Once the ten (10) calendar day period has expired without a refund request, the transaction will be considered final and non-refundable, except in cases of relevant API failures. Refund requests for relevant failures or technical breaches after the legal deadline will be evaluated and, if applicable, managed by APIHUB in coordination with the Provider.
* **Refunds and Liability for Failure or Breach:** After the legal revocation period of ten (10) days, the API Consumer may only request a full or partial refund when the API has serious/relevant failures, relevant technical breaches, or does not correspond to what was offered. The responsibility for the warranty, failures, or breaches lies entirely with the API Provider. APIHUB may coordinate the refund process with the Provider but does not assume a direct payment obligation for the Provider's portion. Notwithstanding the foregoing, by virtue of the Joint and Several Liability that Law No. 24,240 could impose, if APIHUB is legally obligated or discretionarily decides to advance the TOTAL or proportional refund to the Consumer: The API Provider is obligated to immediately reimburse APIHUB for the total amount paid as an advance, plus any reasonable legal expenses associated with said claim, within a period not exceeding FORTY-EIGHT (48) business hours. Failure to Reimburse: The Provider's failure to reimburse the funds within the stipulated period will result in the IMMEDIATE AND PERMANENT SUSPENSION of all their APIs in the marketplace and the blocking of their Provider account, without prejudice to APIHUB initiating the corresponding legal collection and recovery actions to recover the full amount owed.
4.4. **Fiscal and Tax Obligations.** The API Provider is the sole and exclusive responsible for the determination, settlement, and payment of all taxes, duties, tariffs, fees, and contributions corresponding to the income generated through the publication of their API on the platform. **APIHUB does not save any fiscal information from the users.** The Provider declares and guarantees that all registration information provided to APIHUB and PayPal is true, accurate, and complete. The Provider will indemnify and hold APIHUB and its operators harmless from any claim, fine, or penalty, or for the erroneous withholding of funds caused by the provision of false, inaccurate, or incomplete information. APIHUB will not be responsible for the Provider's tax non-compliance.
4.5. **Service Documentation.** APIHUB is not responsible for issuing invoices to the Consumer. This responsibility falls to the API Provider. APIHUB will provide the necessary information for the Provider to comply with their tax obligations.
4.6. **Expiration and Non-Automatic Renewal of Licenses.** The API Consumer acknowledges and agrees that the Use License and its associated Use Quota automatically expire at the end of their 30-day period, or when the quota is exhausted, whichever comes first. Said license will not be automatically renewed. To continue using the API, the API Consumer must make a new purchase of a Use License, as APIHUB does not manage automatic renewals or recurring payments on behalf of the Providers.
4.7. **Legal, Regulatory, or Fiscal Changes.** The User acknowledges and agrees that APIHUB may modify the form, frequency, or conditions of payment settlement or commissions if required by changes in the applicable legal, fiscal, accounting, or regulatory regulations, or by modifications in the policies of the payment processor (including, without limitation, PayPal). Such changes will automatically take effect from the date they become mandatory, without the User being able to claim any compensation for such modifications, with APIHUB being exempt from liability for such adjustments required by law or by the payment processor.
**5. Intellectual Property and User Content**
5.1. **General Grant.** When you publish, link, or otherwise make User Content available on the Service (including the description of your APIs), you grant APIHUB a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, and distribute such content worldwide in any manner or medium, for the purposes of operating the Service.
5.2. **Restrictions.** You may not make available on the Service any API or User Content that infringes the intellectual property rights of third parties. The API Provider expressly authorizes APIHUB to immediately suspend or remove any API or User Content if, at APIHUB's sole and exclusive discretion, (a) there is a reasonable suspicion of illegality or violation of third-party rights, or (b) if such content is considered harmful, unsafe, inappropriate, or does not meet the minimum quality and performance requirements demanded by the platform, without prior notice or any liability for APIHUB.
5.3. **Notice and Takedown Policy and Indemnity.** If you believe that an API or User Content violates your intellectual property rights or contains illegal material, you must send us a written notification to **
[email protected]**. The claimant acknowledges and agrees that APIHUB is not obligated to investigate or act on a notification that does not comply with formal legal requirements (including clear identification of the Intellectual Property and proof of ownership). Upon receiving a valid and complete notification, APIHUB may, at its sole discretion, suspend or remove the content, always acting within a reasonable timeframe. Both the Provider who is the subject of the complaint and the complainant are jointly and severally liable to APIHUB for any costs, damages, or expenses (including legal fees) arising from a malicious, false, or legally unsupported complaint, counter-complaint, or removal.
**6. Ownership and Use of APIHUB Materials**
6.1. **Ownership.** Unless expressly stated otherwise, all APIHUB Materials are the exclusive property of APIHUB or are used with permission. You may not use or disclose any APIHUB Materials without our prior written consent.
6.2. **Trademarks.** The APIHUB name, trademarks, logos, and other product or service names are the property of APIHUB and may not be copied or used without our prior written consent. The use of Third-Party Trademarks on the Service is intended to denote interoperability and does not imply affiliation or endorsement.
6.3. **Ownership of Usage and Traffic Data.** APIHUB is the exclusive owner of all traffic, usage, statistical, analytical, and performance data generated by the Service, including, without limitation, API call logs, latency, error rates, subscriptions, and generated revenue (the "Traffic Data"). The API Provider grants APIHUB a non-exclusive, royalty-free, and perpetual right to use all this Traffic Data, whether anonymized or aggregated, for any commercial purpose, including improving the Service, marketing purposes, or publishing market reports. The Provider will only have access to the Traffic Data generated by their specific API.
6.4. **Confidentiality.** You agree that all of APIHUB's non-publicly available technical, operational, and business information, including, but not limited to, the platform's code, gateway logic, unpublished pricing information, user data (except your own), and any other documentation or material marked as private or confidential, constitutes Confidential Information of APIHUB. The user undertakes not to disclose, reproduce, or use said Confidential Information for any purpose other than the authorized use of the Service under these Terms, and to take all reasonable measures to protect it. This confidentiality obligation will survive the termination of these Terms.
**7. Restrictions and Prohibited Use**
7.1. **User Conduct.** You agree not to use the Service or third-party content in a manner that violates these Terms, is illegal, or in any way interferes with the use of other users. By way of example and not limitation, the following are prohibited:
* Performing or facilitating any illegal activity.
* Interfering with the use of the Service by other users.
* Uploading, publishing, or transmitting any illegal, infringing, defamatory, obscene, or otherwise harmful material to the Service, APIHUB, or third parties.
* Engaging in any activity that may cause damage or harm to the reputation of APIHUB or its users.
* Creating a competitive product or service, or copying any feature or function of the Service.
* Using any contact information or any performance, price, traffic, or market data (including identity, email, or company name) obtained through APIHUB to circumvent the platform's commissions or fees, or to hire, recruit, or establish direct contractual relationships with API Providers or API Consumers outside the Service.
* Engaging in reverse engineering, decompilation, disassembly, or any attempt to discover the source code, logic, design, or internal structure of the Service (including APIHUB's infrastructure and its gateway).
* Illegal or Unauthorized Use. Using any API, data, or service obtained through APIHUB for illicit purposes, including, without limitation: (a) the development, operation, or facilitation of malware, spyware, ransomware, or any cybercriminal activity; (b) violating the privacy or data security of third parties; or (c) any use that constitutes discrimination, harassment, or hate speech.
7.2. **Acceptable Use of the Gateway Service.** The use of the Service for any purpose that is designed or has the effect of overloading, damaging, or disabling APIHUB's infrastructure, network, or gateway is prohibited, including attempting or executing denial-of-service (DDoS) attacks, overloading API traffic to unreasonable levels or beyond the established technical limits, or any activity that compromises the stability or performance of the Service for other users. APIHUB reserves the right to rate-limit or immediately suspend any API key or account that shows abusive or suspicious traffic patterns, without any liability.
7.3. **Interruption for Maintenance or Updates.** The user acknowledges and agrees that APIHUB may interrupt access to the Service, including the gateway, to perform scheduled maintenance, technical updates, or for security reasons, notifying users with reasonable advance notice whenever possible. APIHUB will not be liable for any loss, damage, or inconvenience that the user may suffer as a result of such interruption, even if it affects the operational continuity of the published or consumed APIs. The user agrees that they will not be entitled to compensation or a refund for downtime resulting from such interruptions.
7.4. **Suspension, Termination, and De-indexing by APIHUB.** APIHUB reserves the right to suspend or terminate your access to or use of the Service at any time, with or without reason, if any violation of these Terms is detected or any activity that APIHUB, in its sole discretion, considers harmful to the platform or its users. In addition, APIHUB reserves the right to permanently de-index any API Provider and remove all of their APIs from the marketplace with ten (10) calendar days' notice, in the event that the Provider incurs repeated Consumer dissatisfaction (demonstrated by internal complaint metrics or high error rates), non-compliance with quality standards (Section 1.7), or if the continuation of the relationship is contrary to APIHUB's legitimate business interests. You agree that, upon termination by APIHUB, we are automatically released from all service obligations subsequent to the termination date. APIHUB may immediately suspend or terminate the account of the API Provider who fails to comply with their refund obligations to Consumers under the Consumer Defense Law, or who does not reimburse APIHUB for the amounts paid by the latter on behalf of the Provider.
7.5. **Cancellation by the User.** You may cancel your APIHUB account at any time by sending a request to **
[email protected]**. The cancellation will take effect once all pending transactions have been settled. The cancellation does not release you from the indemnification and limitation of liability obligations set forth in Sections 8 and 9 for actions that occurred before the effective date of cancellation.
7.6. **Right to Replace the Payment Processor.** APIHUB reserves the right to change or replace the payment processor (PayPal or other) at any time, notifying users with reasonable advance notice. Users agree to be subject to the terms and conditions of the new payment processor for all future transactions.
7.7. **Post-Termination Data Retention.** Upon termination or cancellation of your account, APIHUB reserves the right to immediately delete all associated User Content and Traffic Data. You expressly waive any claim against APIHUB for the loss or deletion of such content. APIHUB will only retain the data necessary for compliance with legal, accounting, and tax obligations.
7.8. **Right to Audit Accounts and Access Records.** To protect the integrity of the Service, prevent fraud, and ensure compliance with the anti-circumvention prohibition (Section 7.1), the user grants APIHUB the express right to audit, review, and access all call records, metadata, billing data, and any other transactional information associated with their account or API key, without prior notice. If, as a result of such an audit, APIHUB determines, in its sole discretion, that the user has materially breached these Terms or has attempted to evade commissions, APIHUB may immediately suspend the account and access to the API key and retroactively bill the evaded commissions, in addition to initiating the relevant legal actions.
7.9. **Preventive Suspension for Legal Risk.** APIHUB may immediately and preventively suspend the User's access to the Service, without any liability, when there are reasonable suspicions of fraud, money laundering, terrorist financing, serious breach of current regulations, or when APIHUB receives a judicial, administrative, or any competent authority's request. The preventive suspension will not generate any right to compensation for the User and will remain in effect until the investigation or request is resolved to APIHUB's entire satisfaction.
**8. Limitation of Liability and Disclaimer**
8.1. **Disclaimer.** USE OF THE SERVICE IS AT YOUR OWN RISK. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", without warranties of any kind, either express or implied. APIHUB does not guarantee that data transmission through its gateway or network will be uninterrupted, error-free, or that it will achieve a specific Service Level Agreement (SLA), speed, or latency beyond the mere transport function. APIHUB disclaims all warranties and representations regarding the security, reliability, availability, accuracy, or fitness for a particular purpose of the Service or any API provided through it.
8.2. **Limitation of Liability.** To the maximum extent permitted by applicable law, in no event shall APIHUB or its operators be liable with their personal assets for any indirect, incidental, special, punitive, or consequential damages of any kind, including, without limitation, loss of data, business interruption, or damage to reputation, arising out of the use, inability to use the Service, or any API. The total cumulative liability of APIHUB to the User, for all combined causes and claims, will be limited to the greater of:
* (a) one hundred US dollars (USD 100), or
* (b) the total amount of commissions actually received by APIHUB in the specific transaction that gave rise to the claim, during the six (6) months prior to the event.
8.2.b. **Liability Regarding Personal Data.** To the maximum extent permitted by law, APIHUB will not be liable for the processing, use, disclosure, loss, unauthorized access, or security breaches related to personal data transmitted or processed through the APIs published on the Service, except in cases where willful misconduct or gross negligence exclusively attributable to APIHUB is proven. The API Provider will be solely responsible for complying with all legal obligations related to the processing of personal data in their API, including Law 25,326 and applicable regulations.
8.3. **Force Majeure.** APIHUB will not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay is caused by events beyond our reasonable control, including, but not limited to, fires, floods, earthquakes, strikes, war, power outages, communication network interruptions, or acts of government.
8.4. **Third-Party Infrastructure.** APIHUB uses third-party infrastructure (such as PayPal and hosting services). We make no representations or warranties regarding such infrastructure, and we assume no liability for any claim that may arise with respect to them.
8.5. **Exclusion for Beta or Experimental Services.** If APIHUB makes available any feature, product, or service identified as "beta," "experimental," "test," or not commercially available ("Beta Services"), the user acknowledges that such Beta Services may contain errors or failures and that their use is at their sole risk. Beta Services are provided "as is" and without any warranty of any kind. APIHUB will have no liability for any damage or loss arising from the use or inability to use the Beta Services.
8.6. **No Warranty of Interoperability and Compatibility.** APIHUB offers no guarantee that the Service (including the gateway and documentation) will be compatible with future versions of APIs, operating systems, third-party software, or the Provider's or Consumer's technologies. APIHUB has no obligation to modify or update the Service to ensure continued compatibility or interoperability with the software or the published or consumed APIs. The API Consumer and Provider assume all risk of migration, upgrade, or development costs necessary to maintain their access to and use of the Service.
8.7. **Cumulative Liability and Exclusion of Indirect Damages.** The limitation of liability set forth in Section 8.2 will be cumulative and will constitute the total and maximum limit of APIHUB's liability to the User, regardless of the number of claims, causes of action, or incidents that have occurred. Said limit will not be multiplied by each claim or event. Likewise, in no event will APIHUB be liable for indirect damages, lost profits, loss of clientele, loss of business opportunities, or reputation, even if it had been advised of the possibility of such damages.
8.8. **Jurisdiction of Foreign Users.** Foreign users who use APIHUB's services expressly agree to submit to the jurisdiction of the ordinary courts of the Autonomous City of Buenos Aires, Argentine Republic, waiving any other jurisdiction that may correspond to them.
**9. Indemnification**
9.1. **General Obligation to Indemnify.** You agree, at your sole expense, to defend, indemnify, and hold harmless APIHUB and its operators from any and all claims, demands, actions, proceedings, damages, payments, fines, judgments, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from, related to, or attributable to: (a) your conduct or breach of these Terms; (b) the use or misuse of the Service; (c) the User Content; (d) the legality, security, or functionality of the APIs you publish or consume; (e) any third-party claim for infringement of intellectual property rights, privacy, personal data, or breach of contract; or (f) any death, personal injury, or property damage caused directly or indirectly by your conduct or by the use of the APIs. Nothing in the foregoing will imply unlimited personal liability of APIHUB's operators.
9.2. **Injunctive Relief and Irreparable Harm.** You acknowledge that a breach of the restrictions related to Intellectual Property, commission circumvention (anti-circumvention), or reverse engineering would cause APIHUB irreparable and incalculable harm, for which monetary damages alone might not be a sufficient or adequate remedy. Therefore, you agree that APIHUB will be entitled to seek and obtain injunctive relief, injunctions, or equitable remedies (such as cease and desist court orders) to immediately stop the infringement, in addition to any other legal or monetary remedy available under these Terms or Argentine law.
**10. Applicable Law and Dispute Resolution**
10.1. **Applicable Law.** These Terms are governed by and construed in accordance with the laws of the Argentine Republic.
10.2. **Dispute Resolution.** Any dispute arising in connection with these Terms, including their validity, interpretation, or compliance, must be initially resolved through mediation. The parties agree to negotiate in good faith to try to resolve the dispute. If the dispute is not resolved within 30 days of its notification, the parties submit to the exclusive jurisdiction of the ordinary courts of the Autonomous City of Buenos Aires.
10.3. **Costs and Administrative Fees for Disputes between Users.** The API Consumer and Provider acknowledge that APIHUB is not an arbitrator of disputes between users. If APIHUB is forced to dedicate substantial resources (at APIHUB's sole discretion) to investigate, respond to, or mediate a dispute, claim, subpoena, or legal action initiated by one user against another and related to the use of an API, or if APIHUB is subpoenaed to testify or appear in a legal proceeding initiated by one user against another, the user whose conduct (or that of their API) generated the dispute will indemnify APIHUB for all reasonable costs, expenses, and fees, including legal fees and the internal cost of administrative personnel incurred by APIHUB to respond to such a matter.
**11. Miscellaneous Provisions**
11.1. **Modification of the Terms.** APIHUB reserves the right to modify or replace these Terms at any time, at its sole and exclusive discretion. If a change is material (determined at our sole discretion), APIHUB will make commercially reasonable efforts to provide ten (10) calendar days' prior notice before the new Terms take effect. Notwithstanding the foregoing, non-material changes, or those required immediately for legal, regulatory, or security reasons, may take effect immediately upon publication. Your continued use of the Service after the effective date of the modified Terms will constitute your irrevocable and unconditional acceptance of such Terms.
11.2. **Communications and Effective Notification.** You agree that we may communicate with you electronically regarding your use of the Service, including notices, legal agreements, disclosures, or any other communication (the "Notification"). You agree that any Notification sent to the email address registered in your account or posted on the Service (including the updating of these Terms on the website) complies with any legal requirement for written communication. The Notification will be deemed to have been delivered and to be legally effective at the time of its sending or publication by APIHUB, regardless of whether you access, open, or read said email or publication. It is your sole responsibility to keep your email address updated and to periodically review the Service and these Terms for changes.
11.3. **Assignment and Change of Control.** APIHUB reserves the right, at any time and at its sole discretion, to assign, transfer, or subcontract all or part of its rights and obligations under these Terms to a third party, whether through an asset sale, merger, reorganization, or any other corporate transaction or change of control. You agree that your prior consent will not be required for such assignment or transfer. The user may not assign or transfer their rights or obligations under these Terms without the prior written consent of APIHUB.
11.4. **Severability.** If any provision of these Terms is deemed illegal, void, or unenforceable by a court of competent jurisdiction, such provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
11.5. **Entire Agreement.** These Terms, together with any other legal document incorporated by reference (such as APIHUB's Privacy Policy), constitute the entire agreement between you and APIHUB, and supersede all prior or contemporaneous communications, understandings, or agreements, whether oral or written, in relation to the subject matter hereof.
11.6. **Consent to Use of Tracking Technology.** You acknowledge and agree that APIHUB may use cookies, beacons, local storage, and other similar tracking technologies on the Service (including the gateway) for security, authentication, traffic data collection (as defined in 6.3), service improvement, and internal analytics purposes. You authorize such use and acknowledge that, for detailed management of your personal data and opt-out rights, you should consult APIHUB's Privacy Policy.
11.7. **Time Limit for Filing Claims.** You agree that, to the maximum extent permitted by law, any claim or cause of action arising out of or related to the use of the Service or these Terms must be filed within six (6) months after the date on which such cause of action or claim first arose. If not filed within this six (6) month period, such cause of action or claim will be permanently barred.
11.8. **Survival of Provisions.** Notwithstanding any termination or cancellation of your account or your access to the Service, the provisions of these Terms that by their nature and context should survive such termination or cancellation will survive indefinitely. This includes, without limitation, the Sections relating to:
* Section 1 (Nature of the Service and Role of APIHUB), specifically 1.1 (Passive Intermediary Role), 1.2 (Responsibility for API Content and Functionality), 1.5 (Legal Compliance of APIs), 1.10 (Acceptance of International Data Transfer), and 1.11 (No Endorsement or Business Guarantee).
* Section 2 (Registration and User Accounts), specifically 2.2 (Account Security and Hacking Risk) and 2.3 (Identity Verification and Audit).
* Section 4 (Payment Management and Chargebacks), specifically 4.2 (Commissions), 4.2.b (Deadlines and Payments to Providers), 4.4 (Fiscal and Tax Obligations and Information Guarantee), 4.5 (Billing and Settlement), and 4.6 (Expiration and Non-Automatic Renewal).
* Section 5 (Intellectual Property and User Content).
* Section 6 (Ownership and Use of APIHUB Materials).
* Section 7 (Restrictions and Prohibited Use), specifically 7.1 (User Conduct - regarding the anti-circumvention prohibition), 7.2 (Acceptable Use of the Gateway Service), and 7.7 (Post-Termination Data Retention).
* Section 8 (Limitation of Liability and Disclaimer).
* Section 9 (Indemnification).
* Section 10 (Applicable Law and Dispute Resolution).
* Section 11 (Miscellaneous Provisions) regarding the clauses of Survival, Assignment, and the general validity of the contract.
11.9. **Headings.** The section and subsection headings contained in these Terms are for reference and convenience only, and in no way define, limit, interpret, or describe the scope or extent of such section.
11.10. **Applicable Law and Jurisdiction.** These Terms and any dispute arising out of or in connection with them or with the use of the Service will be governed exclusively by the laws of the Argentine Republic, and you agree to submit to the exclusive jurisdiction of the courts of the Autonomous City of Buenos Aires, as established in Section 10.
11.11. **No Waiver.** The failure of APIHUB to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Any waiver of a provision of these Terms will be effective only if it is in writing and signed by an authorized representative of APIHUB. The fact that APIHUB decides not to act on a breach of a provision by a user does not prevent APIHUB from acting on a subsequent or similar breach.
11.12. **Binding Electronic Acceptance.** The User acknowledges and agrees that the creation of an account on APIHUB, the click of acceptance when registering, or the continued use of the Service constitute valid and sufficient manifestations of consent, with the same legal force as a handwritten signature on a physical document, in accordance with Law 25,506 on Digital Signatures and applicable regulations.
11.13. **Changes to or Withdrawal of the Service.** APIHUB reserves the right to modify, suspend, or discontinue the Service, in whole or in part, including specific marketplace functionalities, at any time and at its sole discretion. In such cases, APIHUB will not be liable to Users for any losses, damages, or claims arising from such modifications, suspensions, or discontinuations, except for payment and billing obligations already accrued before the date of the modification or withdrawal.
11.14. **Use of Name and Logos.** The User authorizes APIHUB to use their trade name, brand, and logo solely for identification and promotion purposes on the website, marketing materials, or commercial presentations, unless the User expressly notifies their opposition in writing. Such use will in no case imply a relationship of sponsorship, association, or endorsement beyond the use of the Service.
